Legal aspects and contractual conditions

A clear understanding of the relevant framework conditions is essential in order to be able to make an informed decision and ensure smooth and legally compliant cooperation with the STACKIT Marketplace. The following explanations are intended to provide you with orientation and transparency in this important area.

The contracts between STACKIT and the seller are resale contracts. The following diagram shows the types of contract that apply between the various parties.

In order to create a fair and transparent basis for our cooperation and to protect the interests of both sides, the signing of the following contracts is necessary:

  • STACKIT Partner Basic Agreement, including a Non-Disclosure Agreement (NDA): You must sign this if you decide to offer a product in the STACKIT Marketplace. If you are already an active STACKIT partner, you probably do not need to sign another contract. We will be happy to check this together.
  • STACKIT Marketplace Vendor Contract: You must sign this if you decide to offer a product on the STACKIT Marketplace.
  • STACKIT Marketplace product contract: Each product that you sell via the STACKIT Marketplace requires its own product contract. This contains all relevant details about your product (delivery method, price model and conditions, all other specific conditions for your product).
  • Service description: Each product that you sell via the STACKIT Marketplace requires its own service description. This data sheet is publicly available to all STACKIT customers at STACKIT’s Service Certificates. It contains all relevant details about your product (delivery method, price model and conditions, all other specific conditions for your product).

Data protection and compliance guidelines (GDPR, etc.)

To sell successfully and sustainably on a marketplace, it is essential to take data protection and compliance seriously. Before you offer your products, you should familiarize yourself with the applicable data protection and compliance guidelines of the STACKIT marketplace. These are described in detail in STACKIT’s Terms and conditions.

  • Data protection-compliant product design: Make sure that your product is data protection-compliant and fulfills all STACKIT Marketplace requirements. This means that you can be transparent about what data is collected, how it is processed and how users’ rights are protected.
  • Security measures to protect customer data: Implementing appropriate security measures to protect customer data is also essential for vendors. Even if the marketplace itself has already taken security precautions, you as a vendor are jointly responsible for protecting the data you process. This includes, for example, the secure storage and transmission of data, the implementation of access controls and compliance with the principles of data minimization and purpose limitation.
  • Industry-specific requirements: Also think about industry-specific requirements. Depending on the product category, additional regulations and guidelines may apply that you must comply with.

As a vendor of our marketplace, it is essential that you familiarize yourself with the liability regulations described in the marketplace vendor contract that you receive from us. In addition to the vendor contract, the Terms and conditions (GTC) of our marketplace are also relevant and must be observed with regard to liability and warranty. To ensure clarity and transparency, it is crucial to clarify responsibilities in advance. We therefore strongly recommend that you read and understand both the vendor contract and the GTC carefully.
